Item 7.01.  Regulation FD Disclosure.

     On August 9, 2005, Conseco, Inc. (the "Company") announced the pricing of
its offering of $300 million principal amount of 3.50% Convertible Debentures
due September 30, 2035 to qualified institutional buyers pursuant to Rule 144A
under the Securities Act of 1933, as amended. The offering is expected to close
on August 15, 2005. The Company has granted the initial purchasers a 13-day
option to purchase up to an additional $30 million principal amount of
debentures. A copy of the Company's press release is filed as Exhibit 99.1 to
this Current Report on Form 8-K.
