On August 9, 2004, Conseco, Inc., a Delaware corporation (the "Company"), the successor to Conseco, Inc., an Indiana corporation (the "Predecessor"), issued a press release to announce that the Company has entered into a settlement with the Securities and Exchange Commission and the New York Attorney General concerning their joint investigation into market timing in variable annuities issued by a former subsidiary of the Predecessor.
