Section 1 — Registrant’s Business Operations
Item 1.01 — Entry into a Material Definitive Agreement
On May 30, 2008, Solar Power, Inc. (the “Company”) signed a commitment letter for a new $3 Million asset-based line of credit with Bridge Bank N.A. The line of credit will provide general working capital and will be secured by the Company’s assets. The credit line is subject to execution of final agreements, which the Company expects to complete by the end of June 2008.

Item 8.01 — Other Events
On June 2, 2008, Solar Power, Inc. (the “Company”) announced that it has agreed to provide a large Korean distributor / installer with 5 megawatts of the Company’s SP200 solar modules. The modules will be delivered beginning in June 2008 and concluding in August 2008. The Company has received a letter of credit underlying the terms of the transaction. Please refer to the press release in Exhibit 99.1 of this Form 8-K.
