At the special meeting of stockholders of Vaccinex, Inc. (the “Company”) held on February 8, 2024, the Company’s stockholders voted on the matter described below.
| Proposal 1. | The Company’s stockholders approved and adopted an amendment to the Company’s Amended and Restated Certificate of Incorporation, as amended, to effect a reverse stock split of its issued common stock with one of several specified ratios between one-for-four and one-for-fourteen shares (the “Reverse Stock Split”), at the discretion of the Company’s Board of Directors (the “Board”). |
