Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective on November 10, 2021, Mr. Samuel Schussler will retire as the Company’s Chief Accounting Officer. Also effective on November 10, 2021, Mr. Vasco Morais will retire as the Company’s General Counsel.

The retirement of both Mr. Schussler and Mr. Morais are not as a result of any disagreement with the Company.
