Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

By letter dated January 8, 2010, William P. Brophey, a member of the Board of Directors (the "Board") of Portfolio Recovery Associates, Inc. (the "Company") informed the Chairman and the Board of his decision to not stand for re-election when his term expires at the Company’s 2010 annual meeting of stockholders. As a result, Mr. Brophey’s tenure on the Board will end upon the election of his successor at the 2010 Annual Meeting of Stockholders. Mr. Brophey's decision is not due to or attributable to any disagreement with the Board or management.
