Item 8.01 Other Events.

On May 1, 2008, Herbalife Ltd. (the "Company") issued a press release announcing that the Board of Directors of the Company had approved a $0.20 per share cash dividend, for the first quarter 2008, payable on June 13, 2008 to shareholders of record on May 30, 2008.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

HERBALIFE LTD. ANNOUNCES 1st QUARTER 2008 DIVIDEND

LOS ANGELES, May 1, 2008 — Herbalife Ltd. (NYSE: HLF) today reported that its board of directors approved a quarterly cash dividend of $0.20 per share to shareholders of record effective May 30, 2008, payable on June 13, 2008.

First Quarter Earnings Conference Call

On Friday, May 2, 2008 at 8 a.m. PDT (11 a.m. EDT), Herbalife’s senior management team will host an investor conference call to discuss its first quarter 2008 financial results and provide an update on current business trends.
