On May 19, 2020, Herbalife Nutrition Ltd. issued a press release announcing a proposed offering by it and its wholly owned subsidiary HLF Financing, Inc. of $600 million principal amount of senior notes in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act.

A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

Herbalife Nutrition Announces Offering of $600 Million of Senior Notes

LOS ANGELES--(BUSINESS WIRE)--May 19, 2020--Herbalife Nutrition Ltd. (NYSE: HLF) (the “Company”) today announced that it, together with HLF Financing, Inc., a wholly owned subsidiary of the Company, intends, subject to market and other conditions, to offer $600 million aggregate principal amount of senior notes due 2025 (the “Notes”) in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act.

The Company expects to use the net proceeds from this offering for general corporate purposes, which may include repurchases of its common shares and other capital investment projects, and to pay related fees and expenses.

This press release is neither an offer to sell nor a solicitation of an offer to buy the Notes, nor shall there be any sale of the Notes in any state or jurisdiction in which such an offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of any such state or jurisdiction.
