INFORMATION TO BE INCLUDED IN THE REPORT
Item 5.02   Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) Ralph E. Christoffersen, Ph.D., a member of the board of directors of the Company (the “Board”) whose term will expire at the Company’s 2007 annual stockholder meeting (the “Annual Meeting”), indicated to the Company on April 13, 2007 that he does not intend to stand for re-election at the Annual Meeting. Dr. Christoffersen’s decision not to stand for re-election is not due to any disagreement with the Company.
     Henry Wendt, a member of the Board whose term was to expire in 2008, indicated to the Company on April 13, 2007 that he has determined to retire from the Board effective as of the date of the Annual Meeting. Mr. Wendt’s resignation is due to retirement and not due to any disagreement with the Company.
