Item 4.01. Changes in Registrant’s Certifying Accountant.

 

On January 20, 2012, the Audit Committee of the Board of Directors of Bonds.com Group, Inc. (the “Company”), engaged EisnerAmper LLP (“EisnerAmper”) as the Company’s independent registered public accounting firm for the fiscal year ended December 31, 2011. During the two fiscal years ended December 31, 2011 and 2010, and the interim period through the date of such engagement, neither the Company nor any one acting on its behalf consulted with EisnerAmper regarding (i) the application of accounting principles to any specified transaction, either completed or proposed; or (ii) any matter that was either the subject of a “disagreement” or a “reportable event,” as those terms are defined in Item 304(a)(1) of Regulation S-K.
