The Registrant was unable to file on August 16, 2004 its
Quarterly Report on Form 10-QSB for the three month period ended
June 30, 2004 ("Form 10-QSB") because the Registrant is awaiting
information from various third parties, which would enable it to
properly and accurately complete the Form 10-QSB.
