PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Center Financial Corporation (the “Company”) has determined that it will be unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2010 (the “Form 10-Q”) by August 9, 2010 without unreasonable effort and expense

because the Company needs additional time to complete the preparation of, and the Company’s independent registered public accountants need to complete the review of, the Company’s financial statements for the quarter ended June 30, 2010. The Company expects to file its Form 10-Q within the “grace” period provided by Securities Exchange Act Rule 12b-25, i.e., on or before the extended deadline of August 16, 2010.

The delay is due to an accounting issue relating to a beneficial conversion feature of the convertible preferred stock that was issued in December 2009. This issue is not expected to impact net income, but may affect the first quarter earnings per common share. The Company requires additional time to complete its analysis in order to determine the correct accounting treatment and to finalize the financial statements.

Forward-Looking Statements

Certain statements contained in this Notification of Late Filing on Form 12b-25 with respect to future financial or business performance, strategies or expectations constitute “forward-looking statements” within the meaning of the Private Securities Litigation Reform Act of 1995. Such statements are based on the current beliefs of the Company’s Management as well as assumptions made by and information currently available to Management. Forward-looking statements often use words such as “anticipate,” “believe,” “estimate,” “expect” and “intend” and words or phrases of similar meaning. Although Management believes that the expectations reflected in such forward-looking statements are reasonable, it can give no assurance that such expectations will prove to have been correct. Important factors that could cause actual results to differ materially from Management’s expectations (“cautionary statements”) include fluctuations in interest rates, inflation, government regulations, economic conditions, customer disintermediation and competitive product and pricing pressures in the geographic and business areas in which the Company conducts its operations. Based upon changing conditions, or if any one or more of these risks or uncertainties materialize, or if any underlying assumptions prove incorrect, actual results may vary materially from those expressed or implied herein. The Company disclaims any obligations or undertaking to publicly release any updates or revisions to any forward-looking statement contained herein (or elsewhere) to reflect any change in the Company’s expectations with regard thereto or any change in events, conditions or circumstances on which any such statement is based.
