On December 20, 2006, the Board of Directors of Temecula Valley Bank ("Bank"), the principal subsidiary of Temecula Valley Bancorp Inc. ("Company"), and the Board of Directors of the Company took action with respect to director compensation. These changes are described in the attached exhibits. Item 5.02.
