Item 3.02
Unregistered Sales of Equity Securities.

On June 24, 2008, Water Science LLC (“WS”) advanced $600,000 to EAU Technologies, Inc. (the “Company”) in anticipation of an exercise of a portion of its warrants to purchase Company common stock. On June 27, 2008 WS exercised a portion of its warrants and the Company agreed to issue 461,538 shares of common stock to WS, at an exercise price of $1.30 per share. The warrants were issued as part of the $4.2 million financing transaction announced in the Company’s Form 8-K filed on May 15, 2007.

The sale of the above referenced securities was exempt from registration with the Securities and Exchange Commission under Section 4(2) of the Securities Act of 1933 and Rule 506 of Regulation D promulgated thereunder.
