The Registrant is experiencing capital constraints which has affected its ability to have its financial statements and related portions of the Form 10-K for the fiscal year ended December 31, 2014 (the “Annual Report”) completed. Further, due to its financial constraints, the audit of the Registrant’s financial statements to be included in its Annual Report has not been completed. Thus, the Registrant is unable to file its Annual Report in a timely manner without unreasonable effort or expense. In accordance with Rule 12b-25 under the Securities Exchange Act of 1934, as amended, the Registrant anticipates filing its Annual Report on or before April 15, 2015, in compliance with Rule 12b-25.
