The Registrant is experiencing capital constraints which have affected its ability to have its financial statements and related portions of the Form 10-Q for the three months ended September 30, 2013 completed. Further, due to its financial constraints, the audit of the Registrant’s financial statements to be included in the Form 10-Q has not been completed. Thus, the Registrant is unable to file its Quarterly Report in a timely manner without unreasonable effort or expense. In accordance with Rule 12b-25 under the Securities Exchange Act of 1934, as amended, the Registrant anticipates filing its Quarterly Report on or before November 19, 2013, in compliance with Rule 12b-25.
