Item 8.01      Other Events

The Company did not conduct an audit of its year ended December 31, 2006 financial statements and did not file a Form 10-KSB as required by SEC Rules. Accordingly, the Company has been advised by the NASD that it will be delisted from the Bulletin Board effective April 13, 2007. As a result of the Company’s common stock will be traded on the Pink Sheets under the symbol “TUBM.PK”.
