Item 1.01. Entry into a Material Definitive Agreement.

On April 1, 2005, Alion Science and Technology Corporation ("Alion", the "Company") entered into a Stock Purchase Agreement (the "Stock Purchase Agreement") to acquire 100% of the issued and outstanding common stock of John J. McMullen Associates, Inc. ("JJMA") from two of JJMA’s officers and the John J. McMullen Associates, Inc. Employee Stock Ownership Trust (the "JJMA Trust"). In the transaction, the Company paid the equity holders of JJMA approximately $58.67 million in cash at closing, including approximately $5.8 million of JJMA cash on hand. At closing, the Company issued 1,347,197 shares of its common stock to the JJMA Trust at $27.65 per share, which price was determined based on a valuation report from Houlihan, Lokey, Howard & Zukin Financial Advisors, Inc., an unrelated third party, dated as of March 28, 2005. Upon the closing, the John J. McMullen Associates, Inc. Employee Stock Ownership Plan and JJMA’s existing 401(k) plan merged into the Alion Science and Technology Corporation Employee Ownership, Savings and Investment Plan. The transaction also provided for approximately $8.4 million in deferred payments to certain individual equity holders of JJMA, payable at various times over a three year period, and subject to set-off for certain indemnity obligations. The aggregate purchase price for JJMA in cash and common stock, including any future payment obligations, is approximately $97 million, excluding the JJMA cash on hand to be distributed to the JJMA equity holders at closing and in deferred payments, and also excluding approximately $1.0 million in JJMA stock option exercise payments that were funded by Alion at closing and immediately reimbursed by the option holders. The purchase price was determined by arms’ length negotiations among the parties.





Item 2.01. Completion of Acquisition or Disposition of Assets.

On April 1, 2005, in accordance with the terms of the Stock Purchase Agreement, the Company purchased 100% of JJMA’s issued and outstanding common stock for a combination of cash and Alion common stock on the terms set forth in Item 1.01 above. The Company funded the cash portion of the acquisition with proceeds from an incremental term loan under its credit facility with Credit Suisse First Boston.

JJMA, founded in 1957, provides ship and systems design from mission analysis and feasibility trade-off studies through contract and detail design, production supervision, testing and logistics support for the commercial and naval markets. JJMA, with a 48-year history of providing service to government, commercial and international customers, has approximately 600 employees that cover the marine disciplines of engineering, design and program management. JJMA’s engineers have capabilities in ship design, ship signature management, advanced hydrodynamics and machinery control systems. The company operates out of 10 offices throughout the U.S. and has main offices in Iselin, NJ and in Alexandria, Virginia.

The summary of the transaction described above is qualified by reference to the Stock Purchase Agreement by and among Alion, JJMA, the JJMA Trust, Marshall & Ilsley Trust Company N.A. as trustee of the JJMA Trust, and holders of JJMA stock options and JJMA stock appreciation rights. The Stock Purchase Agreement is attached as an exhibit hereto and is incorporated by reference herein.
