ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

Effective March 1, 2006, the Board of Directors of Daybreak Oil and Gas, Inc. has appointed Eric Moe as Chief Executive Officer.  Mr. Moe was previously under contract with Daybreak as an investor relations advisor from March 1, 2005 through February 28, 2006.  In addition, Benjamin Anderson has been appointed Chief Operating Officer.  

Eric Moe, Chief Executive Officer. Mr. Moe has over 21 years of experience in the finance field. While working as a Registered Representative with the NASD, Mr. Moe was also a Senior Partner and Vice President for a broker dealer. Since 1998, he has been consulting to both private and public companies specializing in mergers and acquisitions. Mr. Moe is currently providing Investor Relations services to several public companies. During his career, Mr. Moe has been involved with over 20 businesses that have become public reporting companies. He has assisted in successfully raising over $100,000,000.00 in equity and debt financing. Mr. Moe attended Eastern Washington University.

Ben Anderson, Chief Operating Officer.  Mr. Anderson most recently served as a Senior Vice President with Novell from 1998-2002. His duties included product direction, strategy and market direction, and training and support for the field sales staff. He led 25 product managers in supporting products and suites with revenues of $60,000,000.00 and an annual growth rate of 80%. He also managed 300 engineers to develop more than 20 core technologies. From 1978 to 1982 Mr. Anderson worked as a rig hand and was involved in drilling over a dozen wells in North Dakota. He holds a B.S. degree from Brigham Young University in Computer Science and graduated with University Honors of Distinction.
