Item 1.01  Entry into a Material Definitive Agreement.
 
On June 23, 2008, the registrant entered into an amendment of its Master Loan Agreement with its lender, CoBank, ACB. See Item 2.03, the text of which is herein incorporated by reference.
 
Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
 
On June 23, 2008, the registrant entered into an amendment of its Master Loan Agreement with its lender, CoBank, ACB. Under the amendment, the maximum amount available for borrowing under the revolving working capital loan, which was scheduled to decrease from $50 million to $28 million on July 2, 2008, is $40 million effective June 23, 2008. All other terms and conditions under the Master Loan Agreement and subsequent amendments, including the loan’s maturity of October 1, 2008, remain the same following this amendment. The primary purpose of the revolving working capital loan is to finance the registrant’s inventory and receivables. The amendment will be filed as an exhibit in the registrant’s next periodic report.
