     On August 7, 2011, Allied World Assurance Company Holdings, AG (“Allied World”) issued a press release in response to the August 5, 2011 unsolicited acquisition proposal sent by National Indemnity Company to Transatlantic Holdings, Inc. (“Transatlantic”). Allied World, GO Sub, LLC and Transatlantic entered into a previously announced agreement and plan of merger, dated as of June 12, 2011, providing for a merger of equals of Allied World and Transatlantic. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

ALLIED WORLD REAFFIRMS ITS SUPERIOR BID AND COMMENTS ON
NATIONAL INDEMNITY PROPOSAL TO ACQUIRE TRANSATLANTIC
Zug, Switzerland — August 7, 2011— Allied World Assurance Company Holdings, AG (NYSE: AWH) today issued the following statement in response to National Indemnity Company’s proposal to acquire Transatlantic Holdings, Inc.:
President and Chief Executive Officer Scott Carmilani said, “We reaffirm our full commitment to the terms of the Allied World/Transatlantic Holdings merger agreement. We believe this combination provides superior financial and strategic benefits and the opportunity for shareholders of both of our companies to participate in the considerable upside potential of the combined company. In contrast, National Indemnity’s proposal is, at best, opportunistic and seeks to acquire Transatlantic for cash at a significant discount to book value, leaving Transatlantic shareholders no upside potential.
“We are on target to close our merger of equals transaction as quickly as possible in the fourth quarter and look forward to, together, generating attractive long term returns for our shareholders.”
