Item 8.01 Other Events.

          On September 25, 2009, the registrant announced that its Board of Directors has declared a quarterly cash dividend of five cents per share on the Company’s Common Stock totaling approximately $151,520.90. The dividend is payable to shareholders of record as of October 30, 2009, payable on November 13, 2009.

          A copy of the News Release issued by the registrant on September 25, 2009, is attached to this report as Exhibit 99.78 and is incorporated here by reference.
