Item 8.01  Other Events.

         On March 27, 2007, the registrant announced that its Board of Directors
has declared a quarterly cash dividend of fifteen cents per share on the
Company's Common Stock totaling approximately $427,914.75. The dividend is
payable to shareholders of record as of April 30, 2007, payable on May 14, 2007.

         A copy of the News Release issued by the registrant on March 27, 2007,
is attached to this report as Exhibit 99.46 and is incorporated here by
reference.
