Item 8.01.  Other Events.

         On July 12, 2006, the registrant announced that its Board of Directors
has declared a quarterly cash dividend of fifteen cents per share on the
Company's Common Stock totaling approximately $405,529.35. The dividend is
payable to shareholders of record as of July 31, 2006, payable on August 14,
2006.

         A copy of the News Release issued by the registrant on July 12, 2006,
is attached to this report as Exhibit 99.36 and is incorporated here by
reference.
