Item 8.01 Other Events.

     On November 14, 2005, the registrant announced that its Board of Directors
has declared a stock dividend of one share for every twenty shares of Common
Stock owned, payable on December 16, 2005, to shareholders of record on November
30, 2005.

     A copy of the News Release issued by the registrant on November 14, 2005,
is attached to this report as Exhibit 99.31 and is incorporated here by
reference.
