On July 12, 2006, the Registrant’s board of the directors approved a 2.448719-for-1 forward stock split in the form of a stock dividend. The record date for the stock dividend is July 25, 2006 (the “Forward Stock Split”). Customary notification was provided to the NASDAQ Stock Market and it effected the Forward Stock Split on the OTC Bulletin Board at the beginning of business on July 26, 2006. As a result of the Forward Stock Split, the Registrant has 23,959,994 shares of common stock issued and outstanding as of the date of this report.
