Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On May 4, 2006, James L. Easton’s term as a Class II Director of Ambassadors Group, Inc. (the “Company”) expired. Mr. Easton did not stand for re-election at the Company’s 2006 Annual Meeting of Stockholders. Mr. Easton’s resignation did not relate to any disagreement with the Company.
