Item 5.03                      Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
 
Item 8.01                      Other Events.

On October 6, 2009, FPB Bancorp, Inc. held a Special Meeting of Shareholders during which the Company’s shareholders approved two amendments to the Company’s Articles of Incorporation.  The first amendment provided for an increase in the number of authorized shares of common stock from 5,000,000 to 25,000,000.  The second amendment provided for an increase in the number of authorized shares of preferred stock from 1,000,000 to 2,000,000.  After the shareholders’ approval of these two amendments the Company’s total number of authorized shares of all classes of capital stock became 27,000,000.  The effective date of these amendments was October 6, 2009.

The voting results from all of the proposals acted on and approved at the October 6, 2009 Special Meeting were as follows:
