Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 4, 2024, iRobot Corporation (the “Company”) and Faris Habbaba, the Company’s Chief Research and Development Officer, agreed that Mr. Habbaba would step down from his role at the Company, effective immediately. In connection with this transition, the Company and Mr. Habbaba have entered into a Separation Agreement that provides Mr. Habbaba will receive the following benefits pursuant to the Executive Agreement between the Company and Mr. Habbaba: (1) severance equal to six months of his current base salary (a total of $207,500 payable in substantially equal installments on the Company’s regular payroll dates for the next six months and (2) provided Mr. Habbaba elects COBRA continuation coverage, contributions toward premiums for healthcare insurance coverage for up to six months. The Separation Agreement also includes a general release of claims from Mr. Habbaba in favor of the Company and confirms that Mr. Habbaba will comply with certain post-employment restrictive covenants. The foregoing description is qualified in its entirety by the Separation Agreement, a copy of which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
