Item 8.01 Other Events.

On October 14, 2009, Republic Airways Holdings Inc. (the “Company”) announced that it will acquire 10 Embraer 190AR jets from US Airways. The Company will apply the full balance of its $35 million loan from US Airways toward the purchase of the aircraft and assume the remaining debt on the aircraft.

A copy of the press release of the Company announcing the acquisition is filed herewith as Exhibit 99.1 and incorporated by reference herein.
