Item 7.01 Regulation FD Disclosure.

Cogent Communications Group, Inc. intends to commence a tack-on offering of an additional $65 million aggregate principal amount of its 8.375% Senior Secured Notes due 2018 (the "Notes") for issuance in a private placement not registered under the Securities Act of 1933, as amended (the "Act"). Cogent expects to use the proceeds from the offering, if consummated, for general corporate purposes, to buy back its convertible debt if the holders exercise their put and/or to repurchase our common stock or convertible senior notes or pay recurring or special dividends to our stockholders. There can be no assurance that the issuance and sale of the Notes will be consummated.
