The number of shares of common stock, par value $0.0001 per share (“Common Stock”), stated above consists of 1,300,000 additional shares which may be sold upon the exercise of options or issuance of stock awards which may hereafter be granted under the Synta Pharmaceuticals Corp. Amended and Restated 2006 Stock Plan (the “2006 Plan”). The maximum number of shares which may be sold upon the exercise of options or issuance of stock awards granted under the 2006 Plan is subject to adjustment in accordance with certain anti-dilution and other provisions of the 2006 Plan. Accordingly, pursuant to Rule 416 under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement covers, in addition to the number of shares stated above, an indeterminate number of shares which may be subject to grant or otherwise issuable upon the operation of any such anti-dilution and other provisions of the 2006 Plan.

EXPLANATORY NOTE

 

The purpose of this Form S-8 Registration Statement is to reflect an increase of 1,300,000 shares of Common Stock authorized for issuance under the Synta Pharmaceuticals Corp. Amended and Restated 2006 Stock Plan (the “2006 Plan”) by operation of the 2006 Plan’s “evergreen” provision pursuant to which an additional 1,300,000 shares of Common Stock were automatically authorized for issuance under the 2006 Plan on January 1, 2014.  Shares of Common Stock issuable under the 2006 Plan were previously registered on the Registration Statement on Form S-8 (File No. 333-141903) of the Registrant filed with the Commission on April 5, 2007, the Registration Statement on Form S-8 (File No. 333-152824) of the Registrant filed with the Commission on August 6, 2008, the Registration Statement on Form S-8 (File No. 333-173862) of the Registrant filed with the Commission on May 2, 2011, the Registration Statement on Form S-8 (File No. 333-181117) of the Registrant filed with the Commission on May 3, 2012 and, the Registration Statement on Form S-8 (File No. 333-187243) of the Registrant filed with the Commission on March 14, 2013.
