Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On August 21, 2008, the Honorable Jane M. Swift, age 43, was appointed to the Board of Directors (the "Board") of K12 Inc. (the "Company"). Ms. Swift is a former Governor of the Commonwealth of Massachusetts and is currently founder and principal of WNP Consulting, LLC. Ms. Swift will serve as a Director of the Company until the next annual meeting of shareholders of the Company and until her successor is elected and qualified or until her death, retirement, resignation or removal. Ms. Swift has not yet been named to serve on any of the committees of the Board. All similar non-employee Directors of the Company receive 5,000 options and an retainer of $25,000 per year for service as a Director. There are no arrangements or understandings between Ms. Swift and any other person pursuant to which Ms. Swift was appointed a Director of the Company.
