Item 5.03 Amendment to Articles of Incorporation.
On December 20, 2021, following approval by the Company’s Board of Directors and a majority of the outstanding voting stock of the Company, the Company filed Second Amended and Restated Articles of Incorporation with the State of Nevada reflecting an increase in the Company’s authorized common stock from 500,000,000 to 1,000,000,000 shares, effective December 21, 2021. The Second Amended and Restated Articles of Incorporation are filed herewith as Exhibit 3.1.
