Item 1.01 Entry into a Material Definitive Agreement
     On March 16, 2007, the Company and the Bank adopted the LSB Corporation and River Bank Employee Stock Ownership Plan effective January 1, 2007, a copy of which is furnished with this report as Exhibit 99.1. The Bank’s annual contribution to the Employee Stock Ownership Plan will be determined in the discretion of the Board of Directors of the Bank (subject to the contribution limits imposed by the Internal Revenue Code of 1986, as amended).
