ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On November 2, 2006, United Online, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended September 30, 2006, and other financial information. A copy of the press release is furnished as Exhibit 99.1 to this report.

ITEM 8.01. OTHER EVENTS

On November 2, 2006, the Company also announced that its Board of Directors has declared a quarterly cash dividend of $0.20 per share of common stock. The record date for the dividend is November 13, 2006, and the dividend is payable on November 30, 2006. While the Company intends to pay regular quarterly dividends for the foreseeable future, the declaration and payment of future dividends are discretionary and will be subject to determination by the Board of Directors each quarter following its review of the Company’s financial performance.
