ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

 

On May 3, 2006, United Online, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended March 31, 2006, and other financial information.  A copy of the press release is furnished as Exhibit 99.1 to this report.

 

ITEM 8.01. OTHER EVENTS

 

On May 3, 2006, the Company also announced that its Board of Directors has declared a quarterly cash dividend of $0.20 per share of common stock. The record date for the dividend is May 12, 2006, and the dividend is payable on May 31, 2006. While the Company intends to pay regular quarterly dividends for the foreseeable future, the declaration and payment of future dividends are discretionary and will be subject to determination by the Board of Directors each quarter following its review of the Company’s financial performance.
