Item 8.01 Other Events.

As previously announced, Max Capital Group Ltd. ("Max") and Harbor Point Limited ("Harbor Point") entered into an Agreement and Plan of Amalgamation, dated as of March 3, 2010, by and among Max, Harbor Point and Alterra Holdings Limited, a Bermuda exempted company and a direct, wholly owned subsidiary of Max (which agreement we refer to as the "Amalgamation Agreement"). Pursuant to the terms and conditions of the Amalgamation Agreement, Harbor Point will amalgamate with Alterra Holdings Limited (the "Amalgamation").

On April 20, 2010, the Connecticut Department of Insurance (the "Connecticut DOI") announced a public hearing date of May 6, 2010, to consider the Form A Statement Regarding the Acquisition of Control of or Merger with Harbor Point Reinsurance U.S., Inc. filed by Max with the Connecticut DOI on March 10, 2010. In addition, on April 15, 2010, the Delaware Department of Insurance (the "Delaware DOI") announced a public hearing date of May 7, 2010, to consider the Form A Statement Regarding the Acquisition of Control of Max Specialty Insurance Company filed by Max and Harbor Point with the Delaware DOI on April 12, 2010.
