Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

The Registrant received the resignation of Mr. Laurence W. Cheng as a Director of the Company, effective June 13, 2006. Mr. Cheng resigned in order to devote more time to his own company's business interests.

On June 15, 2006, the Registrant issued a news release announcing the Registrant's compliance with Nasdaq Listing Requirements. A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
