NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 10-KSB, 11-K. 20-F, 10-Q, 10-QSB, N-SAR, or the transition report or portion thereof could not be filed within the prescribed time period.  (Attach extra sheets if needed.)
The registrant emerged from Chapter 11 bankruptcy on February 27, 2007 and immediately engaged their auditors to conduct an audit of the registrant’s financial statements for the year ended December 31, 2007. Given this late start to the normal audit timeline, the auditors have not had sufficient time to fully complete their audit of the registrant’s financial statements for the year ended December 31, 2007.  As a result, the registrant is delayed in filing its Form 10-KSB for the fiscal year ended December 31, 2007.
