Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 1, 2010, Jeanne B. Fisher stepped down as the Senior Vice President of Human Resources of AmerisourceBergen Corporation (the “Registrant”) and ceased to be an officer of the Registrant as of that date. Ms. Fisher will remain employed by the Registrant until March 31, 2010 to assist with the transition of duties to her successor as Senior Vice President of Human Resources.
