Item 1.01. Entry into a Material Definitive Agreement
At the annual meeting of stockholders on March 1, 2006, stockholders approved the MedCath Corporation 2006 Stock Options and Award Plan, which provides for the issuance of stock options, restricted stock and restricted stock units to employees of the Company. The plan was approved by the board of directors to be effective as of October 1, 2005, subject to approval and ratification by the stockholders of the Company at the annual meeting. A total of 1,750,000 shares of stock were reserved for issuance under the Stock Plan.
