Item 5.02 Departure of directors or principal officers; election of directors; appointment of principal officers.

On July 31, 2008 Frank Hough resigned as the Chief Financial Officer and Secretary of Pacific Health Care Organization, Inc. (the “Company”). Mr. Hough also resigned as the Secretary of each of the Company’s two subsidiaries, Medex Healthcare, Inc. and Industrial Resolutions Coalition, Inc. Mr. Hough’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. A copy of Mr. Hough’s resignation letter is attached hereto.
