This Amendment No. 1 to Schedule 13G (this “Amendment No. 1”) is being filed with respect to the common stock, $0.000000001 par value (the “Common Stock”), of Pacific Gold Corp. a corporation organized and existing under the laws of the United States of America (the “Issuer”), to amend the Schedule 13G filed on May 9, 2013 (the “Schedule 13G”). This Amendment No. 1 is being filed voluntarily to report changes in the number of shares of Common Stock beneficially owned by the Reporting Persons and to report that none of the Reporting Persons beneficially own more than 5% of the Common Stock. Capitalized terms used herein and not otherwise defined have the meanings ascribed thereto in the Schedule 13G.
