Item 5.02 — Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On March 25, 2022, Mark Adams notified the Board of Directors (the “Board”) of Seagate Technology Holdings plc (the “Company”) that he will retire from the Board and will not stand for reelection at the 2022 Annual General Meeting of Shareholders (the “2022 AGM”). Mr. Adams’ retirement is not the result of any disagreement with the Company on any matter relating to its operations, policies or practices. Mr. Adams will continue to serve on the Board until the expiration of his current term at the 2022 AGM.
