Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 27, 2023, the Board of Directors of United Security Bancshares (the “Company”) and United Security Bank (the “Bank”) appointed Thomas G. Walker as a member of their respective Boards, effective immediately, increasing the current board member count to 11. It has not been determined on what committees of the Boards of Directors Mr. Walker will be appointed.
Mr. Walker currently serves as Principal/Owner of Capital Group Inc. dba Capitalize which is a California-based commercial lending mortgage banking firm where he has been since July 2021.
Since the beginning of the Company’s last fiscal year through the present, there have been no transactions with the Company, and there are currently no proposed transactions with the Company, in which the amount involved exceeds $120,000 and in which Mr. Walker had or will have a direct or indirect material interest within the meaning of Item 404(a) of Regulation S-K.
No arrangement or understanding exists between either Mr. Walker and any other person pursuant to which he was selected as a director of the Company or the Bank.
