Item 5.07. Submission of Matters to a Vote of Security Holders.
   
(a) A Special Meeting of Stockholders (the Special Meeting) of Pepco Holdings, Inc. (Pepco Holdings) was held on September 23, 2014.
   
(b) At the Special Meeting, Pepco Holdings’ stockholders adopted an Agreement and Plan of Merger, dated as of April 29, 2014, as amended and restated by the Amended and Restated Agreement and Plan of Merger, dated as of July 18, 2014 (the Merger Agreement), among Pepco Holdings, Exelon Corporation, a Pennsylvania corporation (Exelon), and Purple Acquisition Corp., a Delaware corporation and an indirect, wholly-owned subsidiary of Exelon, whereby Purple Acquisition Corp. will be merged with and into Pepco Holdings, with Pepco Holdings being the surviving corporation (the Merger).  The final voting results regarding this proposal were as follows:

At the Special Meeting, Pepco Holdings’ stockholders approved, on a non-binding, advisory basis, the compensation that may be paid or become payable to the named executive officers of Pepco Holdings in connection with the completion of the Merger. The final voting results regarding this proposal were as follows:

Because sufficient votes were received to adopt the Merger Agreement, the proposal to approve an adjournment of the Special Meeting, if necessary or appropriate, to solicit additional proxies if there were not sufficient votes at the time of the Special Meeting to approve the proposal to adopt the Merger Agreement was not voted upon at the Special Meeting.
