2.	Related Party

Based on its stock ownership in the Company, MD Anderson Cancer Center meets the criteria to be deemed a related party of Bio-Path Holdings. For the quarters ending June 30, 2014 and 2013, MD Anderson related party research and development expense was $3,213 and $32,067, respectively. MD Anderson related party research and development expense for the quarter ending June 30, 2014 was comprised of $3,213 in current patent maintenance fees for the License Agreement. Accounts payable related party was $3,213 comprised of current patent expenses for the License Agreement, accrued expense related party for MD Anderson was $52,050 for clinical trial hospital costs for the clinical trial and accrued license payments related party of $50,000 for past patent expenses (See Notes 4., 5. and 6.). MD Anderson related party research and development expense for the quarter ending June 30, 2013 was comprised of $22,050 for MD Anderson clinical trial hospital expense and $10,017 for current patent expenses for the Technology License. As of December 31, 2013, accrued expense related party consisted of $52,050 for MD Anderson clinical trial hospital costs and $100,000 in accrued license payments payable due to the related party for past patent expenses and for the annual license maintenance fee for the License Agreement.
