During 2012 the Company sold shares of common stock for $762,510 in cash to investors pursuant to a private placement memorandum. These shares were not issued by the December 31, 2012 year end. The Company closed this offering in 2013 and issued 2,541,700 shares of common stock to these investors. As of December 31, 2013, there were no shares to be issued.
