        As set forth in "The Offer – Guaranteed Delivery" of the Prospectus described below, this instrument or one substantially equivalent hereto must be used to accept the Offer (as defined below) if certificates representing shares of Common Stock, par value $0.0001 per share (the "Pontotoc Shares"), of Pontotoc Production, Inc., a Nevada corporation ("Pontotoc"), are not immediately available or if the procedure for delivery by book–entry transfer cannot be completed on a timely basis, or if time will not permit all required documents to reach the Exchange Agent on a timely basis.
